Position Summary: The Director of Contracts leads C5MI’s contracting function, ensuring efficient operations, governance, and regulatory compliance across prime contracts, subcontracts, MSAs, and related agreements. This role designs and manages workflows, maintains audit-readiness, enforces escalation and approval controls, and oversees agreement reviews and negotiations in alignment with FAR/DFARS, government agency and commercial client-specific requirements. Acting as a strategic partner, the Director of Contracts supports proposals and prime contract management, drives risk mitigation, and will lead a small team to build capacity and training. This individual will advance contracts system modernization and security compliance initiatives to safeguard contractual integrity and enable business growth.

Essential Functions and Responsibilities:

Contracts, Operations, Governance, and Compliance:

  • Lead government and commercial contract lifecycle operations; maintaining a well-oiled operations machine for a high request volume environment.
  • Responsible for negotiation of various contractual agreements and instruments with customers, teaming partners and vendors, such as prime contracts, subcontract agreements, teaming agreements and nondisclosure agreements.
  • Designs and runs intake, triage, and workflows; establishes prioritization logic.
  • Maintains central repositories to ensure audit readiness and traceability.
  • Maintains and updates a Contracts RACI across the lifecycle from capture through closeout.
  • Defines and enforces escalation pathways and thresholds for terms and conditions.
  • Implements controls for clause deviations, redline, and approvals.
  • Create and maintain contracts policies and procedures.
  • Coordinates CUI handling expectations and CMMC/security-related contract requirements with our IT and FSO units.
  • Lead and prepare C5MI for a Contractor Procurement System Review (CPSR) by DCMA.

Agreement Reviews:

  • Lead subcontract and MSA review/negotiation.
  • Draft, negotiate, administer, and manage a variety of contract agreements including Non-Disclosure Agreements, Teaming Agreements, Prime Contracts/Subcontracts, and Consulting Agreements.
  • Interpret and apply FAR/DFARS and other agency supplements; manage representations and certifications and flow-downs to subcontractors.
  • Ensure compliance with, and promote organizational training and awareness of, applicable federal acquisition regulations (FAR) and Service Contract Act (SCA).
  • Conduct and document Organizational Conflicts of Interest (OCI) reviews and mitigation plans.

Prime Contract Management and Changes:

  • Oversees compliance with our prime contract vehicle T&Cs, to include quarterly reporting.
  • Partners with PMs to manage and regulate modifications that include funding and clause updates for subcontractors.

RFP and Proposal Support:

  • Provides front-end contractual guidance in capture and proposals; shapes T&Cs, exceptions lists, and risk registers.
  • Develops standard compliance matrices and assumptions.
  • Assist in reviewing Request for Proposal solicitation documents and draft contract terms and conditions for risk and acceptability, providing inputs to and review of proposals, formulating and executing negotiation strategies.

Team Leadership and Development:

  • Builds and grows effective internal teams and leads, manages, and holds accountable contracts administration staff.
  • Supports, encourages, coaches, and maintains accountability to ensure success for the team and for the organization.
  • Fosters a high-performance culture, promoting teamwork, collaboration, and professional development.
  • Builds training curricula for junior staff.
  • Coaches cross-functional partners on contracts processes and T&Cs.

Other:

  • Adheres to all certified processes as part of our commitment to maintaining the highest standards of quality and information security, which includes actively participating in quality assurance activities and ensuring the protection of sensitive information in accordance with our security policies.
  • Performs other related tasks as assigned by direct supervisor.

Required/Desired Qualifications:

Education, Training, and Experience:

  • Bachelor’s degree in a related field
  • 10-15 years of contracts experience with emphasis in government contracting space.
  • 5+ years of supervisor experience.
  • Experience with contract lifecycle management systems and process automation.
  • NCMA Certification (CPCM or CFCM) is preferred.
  • Must be a U.S. citizen and an active government clearance or be able to obtain a clearance prior to starting.

Specific skills, knowledge, and abilities:

  • Strong and effective negotiation and agreement review skills for complex contracts, subcontracts and MSAs.
  • Ability to design and implement governance frameworks, escalation pathways, and approval controls.
  • Demonstrated experience working with various contract types (Cost Plus, T&M, FFP, etc.) and vehicles (GSA Schedules, IDIQ’s, BPAs, etc.)
  • Ability to interface with all levels of management, working both independently and within a team setting.
  • Deep knowledge of FAR, DFARS, agency supplements, and federal contracting requirements, including flow downs and OCI mitigation.
  • Demonstrated ability to lead, mentor, and develop a contracts administration team.
  • Effective communicator and coach for cross-functional teams.
  • Exceptional organizational skills with a focus on audit readiness and risk management.
  • Strategic thinker with capability to support capture and proposal efforts.
  • Skilled in capacity planning and building training programs.
  • Ability to manage multiple priorities and deadlines.
  • Ability to thrive in a dynamic, fast-paced environment.
  • Familiarity with CUI handling, CMMC, and security-related contract obligations.

Compensation:

In accordance with pay transparency law, the expected salary range for this position is $135,000 – $180,000 annually. The actual compensation offered will be determined based on factors such as the candidate’s experience, qualifications, skills, and location. We are committed to fair and equitable compensation practices. This posted range reflects our good faith estimate of the compensation we reasonably expect to offer for this role at the time of posting.
